TERMS OF SERVICE

1. INTRODUCTION

These Terms of Service ("Terms") govern your use of the websites, applications, and services provided by Landslide Studios LLC ("we," "us," or "our"), including landslidestudios.com, app.landslidestudios.com, the Theo Bible iOS application, and all related services. By accessing or using our services, you agree to be bound by these Terms.

2. DESCRIPTION OF SERVICES

Landslide Studios provides the following services:

Custom web design and development
AI automation and workflow implementation
Online reputation management
Website maintenance and hosting
iOS application development
Landslide Leads — SaaS platform for lead generation and business intelligence

3. ACCOUNT REGISTRATION

When creating an account, you agree to provide accurate and complete information and keep it up to date. You are responsible for maintaining the security of your account credentials. You must be at least 18 years of age to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. ACCEPTABLE USE

You agree not to use our services to:

Engage in any illegal activity or violate applicable laws
Distribute malware, viruses, or harmful code
Attempt unauthorized access to our systems or other users' accounts
Scrape, crawl, or harvest data from our platforms without permission
Create or publish fake reviews or testimonials
Resell or redistribute our services without authorization

5. INTELLECTUAL PROPERTY

5.1 CLIENT CONTENT

You retain ownership of all content you provide to us (text, images, logos, brand assets). By providing content, you grant us a non-exclusive license to use it solely for the purpose of delivering our services.

5.2 COMPANY PROPERTY

We retain ownership of all proprietary code, frameworks, algorithms, tools, and methodologies developed independently of client projects. This includes our internal libraries, reusable components, and development tools.

5.3 DELIVERABLES

Custom designs and visual assets transfer to you upon receipt of final payment. Underlying code frameworks, boilerplate code, and reusable components remain our property. Specific deliverable ownership terms may be defined in individual project agreements.

6. PAYMENT TERMS

6.1 CUSTOM SERVICES

Pricing, milestones, and payment schedules for custom web design, development, and automation projects are defined in individual project agreements.

6.2 SUBSCRIPTIONS (LANDSLIDE LEADS)

Landslide Leads is offered on monthly and annual subscription plans billed through Stripe. Subscriptions auto-renew unless cancelled before the next billing cycle.

6.3 PAYMENT PROCESSING

All payments are processed exclusively through Stripe. We do not store or have access to your credit card data.

6.4 REFUNDS

Subscription fees are non-refundable once a billing period has begun. Refunds for custom services are handled per individual project agreement.

6.5 LATE PAYMENTS

Unpaid balances accrue interest at 1.5% per month. Services may be suspended if payment is more than 30 days overdue.

7. SERVICE LEVEL EXPECTATIONS

While we strive to deliver excellent results, we do not guarantee specific outcomes including search engine rankings, website traffic, lead volumes, or revenue increases. Results vary based on industry, market conditions, and many external factors beyond our control.

8. REPUTATION MANAGEMENT SERVICES

8.1 8.1 SERVICE OVERVIEW

Our reputation management services help clients improve their online presence by soliciting authentic reviews from their real customers through automated email and SMS outreach campaigns. By engaging our reputation management services, you ("Client") agree to the following terms.

8.2 8.2 CLIENT AUTHORIZATION AND DATA CONSENT

By subscribing to our reputation management services, you authorize Landslide Studios LLC to send emails, text messages (SMS/MMS), and other electronic communications to your customers and contacts on your behalf for the purpose of requesting reviews, feedback, and testimonials. You represent and warrant that:

You have obtained proper consent from your customers to be contacted via email and/or SMS for review requests before providing their contact information to us.
You have a legitimate existing business relationship with each contact whose information you provide.
All customer contact information (email addresses, phone numbers) you provide to us is accurate and was collected lawfully.
You have complied and will continue to comply with all applicable privacy laws, anti-spam laws, and telecommunications regulations in your jurisdiction.
You will not provide contact information for any individual who has opted out of receiving communications from your business.

8.3 8.3 COMPLIANCE WITH LAWS

Both parties agree to comply with all applicable laws governing electronic communications, including but not limited to the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), state consumer protection laws, and any applicable state-specific text messaging regulations. The Client is solely responsible for ensuring that appropriate consent has been obtained from each customer before their contact information is submitted for automated outreach. Landslide Studios LLC acts as a service provider sending communications on the Client's behalf and at the Client's direction.

8.4 8.4 OPT-OUT AND UNSUBSCRIBE

All automated review request communications sent through our platform include a clear and conspicuous opt-out or unsubscribe mechanism. When a customer opts out, we will immediately cease sending communications to that individual. The Client agrees not to re-submit opted-out contact information for future campaigns.

8.5 8.5 DATA HANDLING

Customer contact information provided by the Client is used solely for the purpose of sending review requests and related communications as directed by the Client. We do not sell, rent, or share customer contact data with third parties for marketing purposes. Customer data is stored securely and retained only for the duration of the service engagement, after which it will be deleted upon request or within 90 days of service termination.

8.6 8.6 ETHICAL PRACTICES

Our reputation management services operate ethically and within platform guidelines. We do not create fake reviews, fabricate testimonials, purchase reviews, incentivize reviews in exchange for compensation, or engage in review manipulation of any kind (including but not limited to astroturfing, review gating, or selective suppression of negative feedback). We cannot guarantee specific star ratings, review counts, or ranking positions. All reputation management activities comply with the terms of service of the relevant review platforms, including Google, Yelp, and Facebook.

8.7 8.7 CLIENT INDEMNIFICATION FOR REPUTATION SERVICES

The Client agrees to indemnify and hold harmless Landslide Studios LLC from any claims, damages, fines, or penalties arising from the Client's failure to obtain proper consent from their customers, the Client's provision of inaccurate or unauthorized contact information, or the Client's violation of any applicable law related to electronic communications. The Client bears sole responsibility for the legitimacy of the customer relationships and the consent underlying all contact data provided to us.

9. IOS APP TERMS

iOS applications we develop and distribute are subject to Apple's standard End User License Agreement (EULA). Apps are licensed for personal, non-commercial use unless otherwise stated. We reserve the right to update, modify, or discontinue any application at our discretion.

10. SAAS TERMS (LANDSLIDE LEADS)

Landslide Leads aggregates business data from publicly available sources. While we strive for accuracy, we do not guarantee the completeness or correctness of any data.

You are solely responsible for compliance with all applicable laws and regulations when using lead data for outreach, including but not limited to CAN-SPAM, TCPA, and state-level telemarketing laws.

We may modify features, pricing, or availability of the Landslide Leads platform with 30 days notice.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Landslide Studios LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.

Our total aggregate liability for any claims arising from or related to our services is limited to the total fees you have paid us in the 12 months preceding the claim.

12. INDEMNIFICATION

You agree to indemnify and hold harmless Landslide Studios LLC, its officers, and employees from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, content you provide, or your outreach and marketing practices using our tools.

13. TERMINATION

Subscriptions may be cancelled at any time. You retain access through the end of your current billing period.
Custom service agreements are governed by their individual termination clauses.
We may terminate or suspend access immediately for violations of these Terms.
Upon termination, your right to use our services ceases. Data retention is governed by our Privacy Policy.

14. GOVERNING LAW

These Terms are governed by the laws of the State of North Carolina. Any disputes shall be resolved in the courts of Mecklenburg County, North Carolina. Before initiating legal proceedings, both parties agree to attempt resolution through good faith negotiation for a period of 30 days.

15. CHANGES TO THESE TERMS

We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.

16. GENERAL PROVISIONS

These Terms constitute the entire agreement between you and Landslide Studios LLC regarding the use of our services.
If any provision is found unenforceable, the remaining provisions remain in full force.
Our failure to enforce a provision does not constitute a waiver of that provision.
You may not assign your rights under these Terms without our written consent. We may assign our rights at any time.
